New company commence operations in JuneSaab Automobile Parts AB has formed a new North American subsidiary. The new company, North America Distribution Services Inc., trading as Saab Automobile Parts North America, is incorporated in all 52 states in the US and will be headquartered in Michigan. The company will also manage the operations in the Canadian market.

Saab Automobile Parts North America and General Motors Company Enter Warranty Services Agreement

  • Covered owners can now take their Saab vehicles to any of the 179 SPNA Warranty Service Providers to have warranty work performed.
  • Agreement commenced December 17, 2012.
  • Technical and Customer Assistance support will be offered to ensure Saab expertise is available in North America.

Saab Automobile Parts North America (SPNA), the exclusive provider of Saab Genuine Parts and Accessories to the U.S. and Canadian markets, and General Motors Company (GM) have entered into a Warranty Services Agreement that authorizes SPNA to provide warranty administration and related services through Saab’s network of Warranty Service Providers for model year 2009 and prior Saab vehicles still covered under the GM limited warranty. The agreement permits Saab owners the opportunity to have their vehicles repaired by Saab factory trained technicians using Saab Genuine Parts by a nationwide network of Warranty Service Providers.

Saab Cars North America to Pursue Out-of-Court Solution

ROYAL OAK, Mich., Dec. 21, 2011 - Today, Saab Cars North America has elected to pursue an out-of-court resolution for SCNA operations. The SCNA Board of Directors believes this is the best course of action to maximize the enterprise value for its customers, dealers and creditors. McTevia & Associates, a nationally renowned and respected financial advisor to companies in transition, has been chosen to direct the process. In the interim, SCNA continues its day-to-day operations.

"The SCNA Board's decision to explore all possibilities out-of-court is the most appropriate direction to take for customers, dealers and creditors," said Tim Colbeck, President and COO, Saab Cars North America. "By having an experienced, outside Administrator oversee the process, the interests of all parties are better served."

Most importantly, SCNA is committed to developing a solution that would provide warranty coverage for Saab vehicles covering model year 2010 and 2011 models. As has been previously reported, GM is honoring Saab warranties for model year 2009 and prior years, per agreements.

SCNA is aggressively investigating all options aimed at reinstating its parts business in North America in a timely manner. Saab Parts Company in Sweden remains operational and not impacted by the recent announcement regarding Saab Automobile AB.

 
Saab Press: Saab Automobile Files for Bankruptcy

Zeewolde, The Netherlands, 19 December 2011 – Swedish Automobile N.V. (Swan) announces that Saab Automobile AB (Saab Automobile), Saab Automobile Tools AB and Saab Powertrain AB filed for bankruptcy with the District Court in Vänersborg, Sweden this morning.

After having received the recent position of GM on the contemplated transaction with Saab Automobile, Youngman informed Saab Automobile that the funding to continue and complete the reorganization of Saab Automobile could not be concluded. The Board of Saab Automobile subsequently decided that the company without further funding will be insolvent and that filing bankruptcy is in the best interests of its creditors. It is expected that the Court will approve of the filing and appoint receivers for Saab Automobile very shortly.

Swan does not expect to realize any value from its shares in Saab Automobile and will write off its interest in Saab Automobile completely.

DETROIT, December 20, 2011 - In the event Saab cannot or will not fulfill its obligations to administer the warranty programs with its U.S. and Canadian dealers through Saab Cars North America or otherwise, General Motors will take necessary steps to ensure that remaining warranty obligations on Saab vehicles marketed by GM in the United States and Canada will be honored.

(Swan) announces today that it issued a subscription notice for 5 million shares under the current EUR 150 million equity facility between Swan and GEM Global Yield Fund Limited. The exact number of shares to be issued and the price thereof will depend on a 10 day pricing period, which commences today.

Saab Automobile AB (Saab Automobile) expects to be able to pay the wages of its white-collar workers still this week. Swan and Saab Automobile continue their discussions with parties to obtain further short-term funding to be able to restart and sustain production.

Saab PhoeniX Scoops Top Design Award In The 2011 Auto Express New Car Awards

Trollhättan, Sweden - The Saab PhoeniX has scooped the sought-after Design Award in the Auto Express 2011 New Car Awards, with an overwhelming 30 per cent of the magazine’s online readers’ voting the Saab PhoeniX as their number one ‘headturning’ car of the year.

Sleek, innovative and exceptionally efficient, the Saab PhoeniX concept car showcases design features and technologies which will shape the next generation of cars from Saab.

Speaking at the Auto Express awards ceremony held at Woburn Safari Park last night, Acting Editor, Graham Hope, said: “The Saab PhoeniX scooped the Design Award after topping our online poll. It was up against 39 rival concept and production cars, but won by a big margin, securing 30 per cent of the vote.”

Saab Press: Swedish Automobile Signs MoU

Swedish Automobile Signs MoU With Pang Da And Youngman For The Sale Of Saab Automobile And Saab GB

Trollhättan, Sweden: Swedish Automobile N.V. (Swan) announces that it entered into a memorandum of understanding with Pang Da and Youngman for the sale and purchase of 100% of the shares of Saab Automobile AB (Saab Automobile) and Saab Great Britain Ltd. (Saab GB) for a consideration of EUR 100 million.

Final agreement between the parties is subject to a definitive share purchase agreement between Swan, Pang Da and Youngman, which will contain certain conditions including the approval of the relevant authorities, Swan’s shareholders and certain other parties. The consideration of EUR 100 million will be paid in installments. An important consideration for Swan to enter into the transaction is the commitment of Pang Da and Youngman to provide long term funding to Saab Automobile.

The administrator in Saab Automobile’s voluntary reorganization, Mr. Guy Lofalk, has withdrawn his application to exit reorganization. The MOU is valid until November 15 of this year, provided Saab Automobile stays in reorganization.
